MAINE METRO F.C. BYLAWS

Article I.

The name of the organization shall be Maine Metro F.C. (MMFC)

Article II.

The purpose of the MMFC is to offer programs of developmental competitive soccer primarily for, but not limited to, the residents of the Greater Portland Maine Area. MMFC, its players, coaches, and supporting parents and guardians will be committed to (1) the highest standards of sporting conduct, (2) the development of each player to his/her highest potential ability, and (3) the sponsorship of successful teams.

Article III.

MMFC shall maintain membership in the United Soccer Federation of Maine/Soccer Maine.

Article IV.

The colors of MMFC are royal blue and white. Other accent colors may be displayed on the uniforms.

Article V.

MMFC shall work collaboratively with the administration of other local United Soccer Federation of Maine/Soccer Maine travel clubs and organizations to establish and maintain programs for soccer skill training and soccer competition.

Article VI.

MMFC shall operate one Youth Division for junior and youth levels.

Article VII.

MMFC shall be governed by a Board of at least four (4) persons elected annually. The board shall organize itself by choosing from its members those to serve in the following positions: President, Registrar, Director of Coaches, and Treasurer.  All parents of MMFC players and other interested adults are eligible to serve on the Board. Any vacancies on the Board, occurring for any reason are to be filled by a majority vote of the remaining members of the Board.

Article VIII.

The Board shall meet semi-annually and at other times on the call of the President. Board members must be provided with a minimum of five days notice of a meeting. A quorum shall consist of six Board members.

Article IX.

In January of each year, the President shall appoint a Nominating Committee of three persons not currently on the Board to prepare a slate for the annual meeting of the membership to be held in March. Each player registered with MMFC shall have one vote. Players under the age of majority (18) must be represented by a parent or guardian. Nominations will be accepted from the floor at the Annual Membership Meeting. Proxy voting shall not be allowed.


Article X.


Members may attend Board meetings, and request recognition by the President.

Article XI.

MMFC shall publish a website with club news and information for access by all Club members, and the general public.  The website is updated periodically.

Article XII.

MMFC shall provide an equal opportunity to athletes, coaches, trainers, managers, administrators, and officials to participate in youth soccer competitions without regard to that individual’s race, color, religion, national origin, age or sex.  Individuals serving on the Board, the Club Council, or a committee of MMFC shall be selected without regard to that individual’s race, color, religion, national origin, age or sex.

Article XIII.

By the affirmative vote of at least two-thirds (2/3rds) of the Board, the Board may suspend, fine, or terminate (or any combination thereof) the membership of any Member (i.e. athletes, coaches, trainers, managers, administrators, and officials), of MMFC, if the Board determines that: a. The conduct of the Member or coach is adverse to the best interests of soccer, MMFC, or the purposes for which MMFC has been formed; or b. The Member has not complied with the requirements of its membership in MMFC. 

All Members of MMFC upon notification by MMFC must recognize a suspension or other disciplinary action imposed by MMFC in accordance with these bylaws. MMFC and all MMFC Members, on proper notification to MMFC, shall recognize suspensions and other disciplinary actions imposed by the Federation, USYSA, the State Association or any League of which MMFC is a member. 

The Board shall establish fines and penalties, as necessary, to enforce the rules, regulations, and bylaws of MMFC.  If occasions arise that are not fully covered by these bylaws, the Board shall have the power to decide action to be taken. This authority may include but not be limited to fines, suspensions, or termination from MMFC.


Article XIV.

 

All disputes (both intra-team and inter-teams) shall be brought first to the MMFC Board in writing for settlement.  The board will review and make a majority decision within one week from the receipt of complaint.

 

Article XV.

 

MMFC and its members shall recognize the rules and regulations regarding “recruiting” as imposed by the State Association or any League of which MMFC is a member.  Any individual violating this provision shall be subject to disciplinary action imposed by the State Association and MMFC Board.

Article XVI.

To the extent permissible under applicable law, the MMFC Board of Directors and members shall adopt policies consistent with the criteria established by the State Association or any League of which MMFC is a member regarding sexual, physical and verbal abuse.

Article XVII.

These Bylaws may be changed at the annual meeting by a two-thirds majority of those present and voting. Notice of proposed changes to the Bylaws must be published in the newsletter mailed at least twenty days prior to the Membership meeting at which the changes will be voted upon.

 Article XVIII.

Dissolution - Upon dissolution of the Club, or the termination of its activities, The Board of Directors shall, after paying or making provisions for the payment of all of the liabilities of the Club, dispose of all of the assets of the Club exclusively to one or more organizations, to be selected by the Board of Directors, which are organized and operated exclusively for such purposes as shall then qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, and as a charitable, religious, eleemosynary, benevolent, or educational corporation within the meaning of Title 13-B of the Maine Revised Statutes, as amended.
